Introduction and objectives

The Master’s in Banking Law and Financial Markets from ISDE, developed in collaboration with Bolsas y Mercados Españoles (BME), offers a comprehensive overview of the modern financial environment, combining legal, economic, and technological perspectives.

Designed to provide intensive, practical, and multidisciplinary training, the program enables students to acquire the skills needed to operate competently in complex transactions, market analysis, and corporate advisory within regulated financial environments.

The master’s is structured into modules that connect financial fundamentals, legal practice, and strategic management: Introduction to Accounting and Finance, Banking Law, Securities Law, and Mergers & Acquisitions (M&A).

Master’s Objectives:

  • Combine the legal framework of banking, securities, and financial activities.
  • Understand financial instruments, their valuation, and regulatory regime.
  • Integrate economic and accounting perspectives with legal and tax advisory.
  • Analyze European regulation and the international practice of capital markets.
  • Develop technical competencies in M&A processes and corporate finance.

Structure, location and calendar

Campus: Madrid

Duration: One academic year Structure:

  • Introduction to Accounting and Finance module in self-study format.
  • The Banking Law, Securities Law, and M&A modules are taught in person on Friday afternoons and Saturday mornings.
  • Option to attend in Streaming or Online format for those who are unable to attend in person.

Although the master’s does not include an internship, one can be arranged separately. Additionally, those who combine this Master’s with ISDE’s Bar and Solicitor Admission program will complete the mandatory internships of that second program within the area of specialization of the Master’s in Banking Law and Financial Markets. These internships allow students to apply the knowledge acquired and facilitate immediate professional integration.

MODULE I. Online Accounting and Finance Course (200 training hours)

This module will allow students to reinforce their economic understanding by acquiring competencies in financial analysis, business valuation, treasury management, and market fundamentals.

  • Fundamentals of corporate law and corporate transactions.
  • Corporate governance, regulatory compliance, and directors’ liability.
  • Capital structures and business financing.
  • Financial strategy and investment decisions.
  • Accounting analysis and business valuation.
  • Practical case study workshops and corporate process simulations.

MODULE II. Banking Law (120 hours)

  • Financial system and European supervision.
  • Banking contracts: loans, credits, and guarantees.
  • Money laundering and regulatory compliance.
  • Banking liability and customer protection.
  • Digital banking and new fintech models.

MODULE III. Securities Law (120 hours)

  • Securities market regulation and supervisory bodies.
  • Issuances, IPOs, and corporate transactions.
  • Inside information, corporate governance, and ESG.
  • Intermediation, clearing, and securities litigation.
  • Investment funds, venture capital, and alternative vehicles.
  • International trends: tokenization, DLT, and MiCA regulation.

MODULE IV. Mergers and Acquisitions – M&A (120 hours)

  • Growth strategies and corporate restructuring.
  • Due diligence and legal structuring of transactions.
  • Valuation and negotiation in purchase and sale transactions.
  • Private equity and venture capital.
  • Tax and regulatory aspects of M&A.

ACCREDITED DEGREE

Once the corresponding Program has concluded and ISDE has verified that the STUDENT has completed their work satisfactorily, the STUDENT will receive the qualification corresponding to each PROGRAM.

In compliance with current legislation and, specifically, the provisions of Article 4.4 of Decree 84/2004, it is hereby noted that ISDE’s programs have a professional orientation and, therefore, unless explicitly stated otherwise, they are courses that do not lead to the obtainment of an officially recognized degree, but rather to an ISDE own degree.
