Introduction and objectives

This programme aims to provide, on the one hand, the essential legal knowledge of the law of capital companies and, at the same time, information on the latest legislative and jurisprudential developments that affect it through the analysis of operations and real cases.

Additionally, the student will see the issues not only from a legal perspective but we will try to give him/her a global analysis so that he/she aligns his/her technical knowledge to the maximum possible creation of value for the company, that is, to maximize the profits for the shareholders or owners.

Structure, location and calendar

Start in October. 120 hours of classes, held on Friday afternoons and Saturday mornings.

At the ISDE campus, 208 Serrano Street.

From the time of enrollment, students will be granted access to the materials for the introductory course in accounting and corporate finance.

They will be adept at advising on corporate governance, fiscal policies, shareholder agreements, family business dynamics, corporate restructuring, compliance, and much more, ensuring their proficiency in addressing contemporary corporate challenges.

MODULE I. CORPORATE LAW (COMPANY LAW, TAX)

  • Corporate organization of the company: the general shareholders’ meeting.
  • Corporate organization of the company: the management body, the de facto director, and voluntary representatives.
  • Corporate organization of the company: advisory board. Bodies of the family business and the listed company.
  • Good Corporate Governance.
  • Shareholders’ agreements: content and customary clauses.
  • The family business: key issues.
  • The family protocol: content and clauses.
  • Family offices.
  • Ancillary obligations and their usefulness in companies.
  • Amendment of the bylaws.
  • Transactions involving share capital: capital increases and reductions, accordion transactions, and reverse transactions.
  • Treasury shares and treasury share transactions.
  • Special shares and units, non-voting units, and stock options.
  • Liability of shareholders; piercing the corporate veil. Shareholders as de facto directors and classification of insolvency as culpable and shareholders’ insolvency liability.
  • Liability of directors vis-à-vis the company. Liability of attorneys-in-fact vis-à-vis the company and directors’ and officers’ (D&O) liability insurance.
  • Shareholder loans/subordination. Participating loans. Legal instruments equivalent to shares. Redeemable shares in closely held companies, convertible bonds, warrants.
  • Directors’ liability: liability for damages, for debts, and insolvency liability.
  • Directors’ remuneration: tax, labor, and corporate analysis.
  • Shareholders’ remuneration: tax and corporate analysis.

ACCREDITED DEGREE

Once the relevant Program has concluded and ISDE has verified that the STUDENT has completed their work satisfactorily, the STUDENT will receive the corresponding Degree certificate for each PROGRAM.

In compliance with current legality and, specifically, as set forth in article 4.4 of decree 84/2004, it is noted that ISDE’s programs are professionally oriented and therefore, unless explicitly stated otherwise, they are courses that do not lead to the acquisition of a title with official value, but to that of a proprietary title from ISDE.
